Each service is governed by a specific scope of work or written agreement.

3. Payment Terms

All payments must be made in full or as per the agreed payment schedule.
Monthly retainers are billed in advance and are non-refundable once the billing cycle starts.
Late or failed payments may result in service interruption or termination.
All invoices must be settled within the timeframe stated on the invoice.

4. Client Responsibilities

Clients are expected to:

Provide timely access to necessary accounts, platforms, or data.
Respond to communication and approve deliverables promptly.
Cooperate throughout the duration of the project.
Refrain from engaging in activities that could harm the effectiveness of SEO or paid campaigns (e.g., unauthorized changes to the website).

5. Intellectual Property

All materials, strategies, and content developed by SMART SOLUTION L.L.C remain our intellectual property until full payment is received. Upon full payment:

Clients receive a license to use delivered content for their business purposes.
Use or distribution of our proprietary materials without permission is strictly prohibited.

6. Service Modifications & Termination

We reserve the right to:

Modify or discontinue services at any time with prior notice.
Terminate a service relationship if the client engages in unethical or uncooperative behavior.
Cancel any agreement if the client breaches these Terms & Conditions.

Clients may request service termination with written notice. Refunds will be handled as per our Refund Policy.

7. Performance & Guarantees

While we aim for the best possible outcomes, SEO and digital marketing results depend on factors outside our control, such as:

Search engine algorithm updates
Market competition
User behavior

Therefore, we do not guarantee specific rankings, traffic, or conversions.

8. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information shared during the course of the project, including strategy documents, login credentials, business data, and project details.

9. Limitation of Liability

SMART SOLUTION L.L.C will not be held liable for:

Loss of revenue, business, or data
Damages resulting from third-party services or software
Delays caused by incomplete information or access issues from the client side

Our total liability is limited to the amount paid by the client for the service in question.

10. Dispute Resolution

We encourage all clients to contact us first at (478) 207-7465‬ to resolve concerns before taking legal or financial action. If unresolved, disputes shall be governed by the laws of the State of Indiana, and subject to arbitration or small claims court in that jurisdiction.

11. Policy Changes

SMART SOLUTION L.L.C reserves the right to update or modify these Terms & Conditions at any time. Continued use of our services after changes implies acceptance of the updated terms.
